Terms of Service

1. Eligibility and authority

You must be legally capable of entering a contract and authorized to act for the merchant or organization whose account you connect. You are responsible for accurate account information and for all authorized users under your organization.

2. SmartRack service and license

SmartRack imports and manages product, pricing, promotion, and display information and may synchronize that information with supported electronic shelf-label and display providers. The Clover integration reads the authorized merchant's catalog into SmartRack; it does not process payments or write price changes back to Clover. A SmartRack account, an authorized Clover merchant account, internet access, and supported display hardware are required for the relevant features.

Subject to these Terms and the applicable subscription, LPBB grants you a limited, non-exclusive, non-transferable right to use SmartRack for your organization's internal business operations while your access is active. This does not transfer ownership of the software. Updates and maintenance may change functionality or cause temporary interruptions.

3. Clover connection and independent provider

An authorized SmartRack organization owner connects a Clover merchant account to a selected store through Clover OAuth. The current integration requires Read Inventory permission to import catalog items and process inventory webhooks. SmartRack does not request your Clover password or permissions to read payments, orders, customers, or employee records.

LPBB provides and supports SmartRackESL. Clover and its affiliates are not parties to these Terms, do not license or provide SmartRackESL, and assume no liability under these Terms for your use of it. Your separate agreements with Clover continue to govern Clover services. Clover may change or withdraw API access; LPBB remains responsible for its own obligations under these Terms.

4. Merchant responsibilities

• Maintain accurate products, prices, tax and promotion information.
• Review synchronized content before relying on it in-store.
• Use only data you are authorized to provide to SmartRack.
• Protect account credentials and promptly remove access for users who no longer need it.
• Comply with consumer-protection, pricing, privacy, employment, and other laws applicable to your business.

5. Acceptable use

You may not misuse the service, attempt unauthorized access, interfere with security or availability, reverse engineer protected components except where law permits, upload unlawful or infringing content, or use SmartRack to violate the rights of others.

6. Third-party services

SmartRack may interoperate with Clover, AWS, Minew, PX30 providers, and other services selected by the merchant. LPBB is responsible for its own service, but does not control and is not responsible for third-party products, terms, security, or availability.

7. Fees and cancellation

The price, trial period if any, billing cycle, taxes, renewal, cancellation, and refund terms are shown in the subscription offer you accept. For an app acquired through Clover App Market, app fees and paid in-app features must use the billing method required by Clover; these Terms do not authorize bypassing Clover billing. Hardware or separately contracted services are described in their applicable agreement, subject to Clover's requirements where they apply.

Manage or cancel an App Market subscription through Clover's subscription controls, or contact us for assistance. Revoking data access, signing out of SmartRack, or deleting browser storage does not by itself cancel a subscription or a separate hardware/service contract. Applicable law and any rights stated in your accepted offer govern refunds.

8. Intellectual property and merchant data

LPBB retains all rights in SmartRack, its software, branding, and documentation. You retain ownership of data you provide. You grant LPBB the limited rights needed to host, process, reproduce, and transmit that data to operate, secure, support, and improve the contracted service.

9. Confidentiality and security

Each party must protect the other's confidential information using reasonable safeguards and use it only for the service relationship. LPBB applies administrative, technical, and organizational safeguards, but no networked service can guarantee absolute security.

10. Suspension, revocation, and termination

To withdraw Clover authorization, uninstall or revoke SmartRackESL in your Clover account. Contact brian.bernier@lpbb.ca for help ending the integration, closing your SmartRack account, or deleting previously imported data. Revocation stops authorized future access to Clover; it does not automatically erase copies already imported into SmartRack or remove an image already shown on a shelf label.

LPBB may suspend access for security threats, unlawful use, material breach, or non-payment, and may terminate the service as permitted by the applicable agreement and law. On termination, your license ends and data is handled as described in the Privacy Policy. Any separate cancellation or payment obligations continue according to the applicable subscription or agreement.

11. Disclaimers and limitation

To the extent permitted by law, SmartRack is provided on an “as available” basis. LPBB does not warrant uninterrupted operation or that third-party data is complete or error-free. Nothing in these Terms excludes liability that cannot legally be excluded. Any additional warranties or negotiated liability limits appear in the applicable customer agreement.

12. Governing law and changes

Unless an applicable customer agreement states otherwise, these Terms are governed by the laws of Québec and the federal laws of Canada applicable there, subject to mandatory applicable law. LPBB will date revised Terms, communicate material changes as required, and obtain Clover review of amended app terms before making them available through Clover App Market where required by the developer agreement.
